Terms

These terms apply to plans, audits and hourly work provided by Hovhannes Torosyan IE ("we") to you, the client. A signed proposal or order form can add to them; where the two differ, the signed document wins.

Plans

• Plans are monthly, with no minimum term. Either side can cancel or change tier with 30 days notice.
• Each tier includes the capacity, response time and scope described on the plans page at the time you start.
• Unused hours roll over one month, capped at half the tier. Hours beyond the tier are billed at the published overage rate, or you move to a larger tier.
• Rates are fixed for 12 months from the start of the plan.
• Large pieces of work run as workstreams inside a plan. We don't sell fixed-price projects.

Audits

The Foundation Audit and the Cloud Health Check are fixed-price and delivered as a written report. Their fees are credited as described on the plans page, when the conditions there are met.

Hourly work

Billed in the minimum blocks and at the rates published on the plans page. Incident response is billed at the published multiplier.

Invoicing and payment

• We invoice directly. Plans monthly in advance, audits half to start and half on delivery, hourly work monthly in arrears.
• Prices are in USD. Invoices in USD or EUR, your choice, with EUR at the ECB reference rate on the invoice date.
• Payment by bank transfer (SWIFT). Bank details are on the invoice. Sending and intermediary bank fees are yours.
• Net 14 days for plans, net 21 for audits and hourly work.

Leaving

When a plan ends, you get a handover week at no charge. The infrastructure code, repositories, runbooks and dashboards we built for you are yours once the related invoices are paid.

Compliance work

For HITRUST, HIPAA and GDPR work we do readiness, remediation and evidence work, and support you through the process. We are not an assessor and do not certify. Where we handle protected health information, we sign a business associate agreement first.

Confidentiality

We keep your code, data, credentials and business information confidential, during and after our work together, and use it only to do that work.

Liability

We carry out the work with reasonable skill and care. Our total liability under these terms is limited to the fees you paid us in the three months before the claim. Neither side is liable for indirect or consequential loss.
